Terms of Service

1. Acceptance of Terms
By accessing or using the client portal at portal.malcolmjhenry.com (the “Service”) operated by Malcolm J. Henry Consulting (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Services
Malcolm J. Henry Consulting provides strategic consulting services to product leaders, including AI/ML product strategy, agentic systems architecture, enterprise product governance, roadmap optimization, digital transformation, and go-to-market strategy.
The Service (client portal) provides tools to manage your engagement: booking consultations, accessing deliverables, managing your subscription, and communicating with our team.
3. Accounts and Registration
You must create an account to access most features of the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to:
- Provide accurate and complete registration information
- Notify us immediately of any unauthorized account access
- Not share your account credentials with others
- Be at least 18 years of age
We reserve the right to terminate accounts that violate these terms or that have been inactive for an extended period.
4. Subscriptions and Payments
Billing
Paid subscriptions are billed on a recurring basis (monthly or as specified at checkout) via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid.
Refunds
Consulting services are billed in advance and are generally non-refundable once a billing period has begun and services have been delivered or made available. Refund requests for exceptional circumstances are evaluated on a case-by-case basis. Contact consulting@malcolmjhenry.com within 7 days of a charge to request a review.
Price Changes
We may modify subscription pricing with at least 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.
5. Consulting Engagements
Specific consulting engagements are governed by a separate Statement of Work (SOW) or engagement letter agreed upon between you and Malcolm J. Henry Consulting. In the event of a conflict between these Terms and an executed SOW, the SOW controls.
Consultation calls booked through the portal are subject to our cancellation policy: cancellations or reschedules must be made at least 24 hours in advance. Late cancellations may be forfeited.
6. Intellectual Property
Our Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Malcolm J. Henry Consulting. You may not reproduce, distribute, or create derivative works without our written permission.
Deliverables
Upon full payment, deliverables created specifically for your engagement (reports, roadmaps, analyses) are licensed to you for your internal business use. We retain ownership of underlying methodologies, frameworks, and tools. We may reference the engagement as part of our portfolio unless you request confidentiality in writing.
Your Content
You retain ownership of materials you provide to us. By sharing materials through the portal, you grant us a limited license to use them solely to deliver the contracted services.
7. Confidentiality
Both parties agree to keep confidential any proprietary information shared during an engagement. We will not disclose your confidential business information to third parties without your consent, except as required by law. This obligation survives termination of the engagement.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service or its systems
- Upload or transmit malicious code, spam, or harmful content
- Misrepresent your identity or affiliation when using the Service
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse engineer, decompile, or disassemble any portion of the Service
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
Consulting advice and recommendations are provided based on information you share and our professional judgment. We do not guarantee specific business outcomes. Results depend on many factors outside our control.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Malcolm J. Henry Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service or any consulting engagement.
Our total liability for any claim arising from these Terms or an engagement shall not exceed the total fees paid by you to us in the three months preceding the claim.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Atlanta, Georgia, and you consent to personal jurisdiction in those courts.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
